Terms and Conditions

These Terms and Conditions apply to all contracts between KlickWert AI-Solutions (hereinafter “contractor”) and its business clients (hereinafter “client”).

1. Scope

The contractor's services are aimed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB). Deviating terms proposed by the client apply only if expressly agreed in writing.

2. Scope of Services

The type and scope of the services (websites, AI automations, chatbots, voice agents, and related consulting and maintenance) are set out in the respective written offer. Acceptance criteria are jointly defined before the project begins.

3. Client Cooperation

The client provides the content, access, and points of contact required for implementation in a timely manner. Delays caused by insufficient cooperation extend agreed deadlines accordingly.

4. Fees

The fee agreed in the offer applies (fixed price or monthly flat rate) plus statutory VAT. Invoices are due within 14 days without deduction.

5. Rights to the Work Product

Upon full payment, the client receives the complete usage and exploitation rights to the project-specific code created, including handover of the Git repository and documentation. Rights to open-source components and third-party services used are governed by their respective license terms.

6. Warranty and Liability

The contractor will remedy defects relating to the agreed acceptance criteria free of charge. Liability for slight negligence is excluded — except in cases of injury to life, body, or health, and breach of material contractual obligations; for material contractual obligations, liability is limited to foreseeable damage typical for this type of contract.

7. Final Provisions

German law applies. To the extent legally permissible, the place of jurisdiction is the contractor's registered office. Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
